1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WEBMINDS LLC ("WebMinds," "we," "us," or "our"), governing your access to and use of the website located at webminds.dev (the "Site") and the services we provide.

By accessing or using our Site or services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or our services.

2. Services

WebMinds provides digital services including but not limited to:

  • Web and application development
  • AI and automation solutions
  • Marketing and growth strategy
  • Systems integration and platform consulting
  • Webmaster and maintenance services
  • Digital strategy consulting

The specific scope, deliverables, timeline, and pricing of any engagement will be defined in a separate project agreement or statement of work ("SOW") agreed upon by both parties before work begins.

3. Free Assessments and Consultations

We offer free digital assessments and discovery calls at no charge. These are provided as a courtesy and do not create any obligation to purchase our services. The insights and recommendations provided during free assessments are for informational purposes and remain the intellectual property of WebMinds until a paid engagement is established.

4. Client Obligations

When engaging our services, you agree to:

  • Provide accurate, current, and complete information in all forms and communications.
  • Provide timely access to necessary materials, accounts, and feedback as required for project completion.
  • Designate an authorized point of contact for project decisions.
  • Review and approve deliverables within the timeframes specified in the SOW.
  • Ensure you have the legal right to provide any content, data, or materials you share with us.

5. Intellectual Property

5.1 Client Ownership

Upon full payment for completed work, you own all custom code, designs, and deliverables created specifically for your project as defined in the SOW, unless otherwise specified.

5.2 WebMinds Ownership

We retain ownership of:

  • Pre-existing tools, frameworks, libraries, and proprietary methodologies.
  • General knowledge, techniques, and skills gained during the engagement.
  • Our branding, website content, marketing materials, and proprietary systems (including Atlas AI).

5.3 Third-Party Components

Projects may include third-party software, libraries, or services governed by their own licenses. We will identify any third-party components and their license requirements in the project documentation.

6. Payment Terms

Payment terms for paid engagements include:

  • A deposit is required before work begins, as specified in the SOW (typically 30-50% of total project cost).
  • Milestone payments are due upon delivery and approval of defined project phases.
  • Final payment is due upon project completion and before final deliverable transfer.
  • Invoices are due within 15 days of issuance unless otherwise agreed in writing.
  • Late payments may be subject to a 1.5% monthly interest charge.

7. Project Changes and Scope

Changes to the agreed scope of work must be submitted in writing and approved by both parties. Additional work outside the original SOW may result in additional charges and timeline adjustments, which will be communicated and agreed upon before work proceeds.

8. Warranties and Disclaimers

8.1 Our Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We offer a 30-day warranty period after project delivery during which we will fix any bugs or defects in the delivered work at no additional charge.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee specific business outcomes, revenue increases, traffic growth, or search engine rankings as a result of using our services. Past results and case studies presented on our Site are illustrative and do not guarantee similar outcomes.

8.3 AI Assistant Disclaimer

Atlas, our AI assistant, provides general information about our services. Responses are generated by artificial intelligence and may not always be accurate or complete. Atlas's responses do not constitute professional advice and should not be relied upon as a substitute for consultation with our team.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBMINDS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO WEBMINDS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes business strategies, technical specifications, financial information, and any information marked as confidential. This obligation survives the termination of any engagement.

11. Termination

  • By you: You may terminate an engagement with 30 days written notice. You will be responsible for payment of all work completed up to the date of termination.
  • By us: We may terminate an engagement if payment is not received within 30 days of the due date, or if the client fails to provide necessary materials or feedback within 30 days of request.
  • Effect of termination: Upon termination, all completed work paid for will be delivered to you. Work in progress will be delivered upon payment for completed milestones.

12. Indemnification

You agree to indemnify and hold harmless WEBMINDS LLC from any claims, damages, or expenses arising from: (a) your use of our Site or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or materials you provide to us.

13. Use of Site

When using our Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any portion of the Site or related systems.
  • Interfere with or disrupt the integrity or performance of the Site.
  • Use automated tools to scrape, crawl, or index the Site without permission.
  • Submit false or misleading information through any form on the Site.
  • Use the AI assistant to generate harmful, misleading, or inappropriate content.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States. Any dispute arising out of these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
